Interlink Global Corp. Completes Acquisition of Wholesale VoIP Provider26 August 2005
Interlink Global Corp. Inc. (OTC:ILKG) - http://www.interlink-global.com - today announced that it has acquired 100% of the stock of Assai Inc., a New Jersey based wholesale Internet VoIP provider. The company is presently moving Assai's operations and management team to the offices of Interlink in Miami, and has changed the name of Assai to Interlink Global Communications Inc. The purchase price consisted of the Assai's shareholders receiving 1 million shares of Interlink's restricted stock, with the right to earn an additional 1 million shares of restricted common stock if the subsidiary achieves its 2005 and 2006 projections.
Assai Inc., which was formed in 2003, provides Internet wholesale VoIP minutes, (traffic) to major international customers including Jaina Systems in the United States, BD Cell in India, Asia Digicel: in India, Amar Phones in India, Buy VOIP in India and Kharafi National in the US and India. The Company's present wholesale traffic is over 12,000,000 minutes per month.
The former CEO of Assai, Mr. Siba Padhi, will head Interlink Global Communications Inc., the wholesale division of Interlink Global. In the past, as C.E.O. of Siday LLC, a global investment and consulting firm, Mr. Padhi raised over $80 Million for management buy-outs and new ventures, some of them within the VoiP industry. Most recently, he founded Assai, Inc., which is a VoiP carrier involved in wholesale termination of international traffic. Mr. Padhi will serve as Executive Vice President and Chief Technology Officer of the parent, Interlink Global Corp., while continuing to run the day to day operations of Interlink Global Communications Inc.
Prior to joining Interlink, Mr. Padhi spent over 15 years as an executive of a variety of multi-national companies in the U.S.A., the Philippines and India in the technology and telecommunications services industries. Mr. Padhi was Director of Finance for ConEdison Communications Inc. in New York, and C.E.O. of the Philippine Telecom's division in India. Mr. Padhi holds degrees from the London School of Economics, NY University's Stern School of Business and HEC in Paris, and holds an MBA from the Asian Institute of Management.
Interlink Global Communications will now manage the wholesale VoIP operations of the entire Interlink family of corporations and joint ventures. The Interlink wholesale operations, which represent the high volume low margin business of Interlink, are projected to generate gross revenues of $3,378,500 prior to the end of 2005 with a profit contribution of $27,320. Gross income for this subsidiary is projected to increase to $22,005,000 in 2006, with a profit contribution of $450,700.
Mr. Padhi in discussing the acquisition of his company and the joining of Interlink's senior management stated: "I believe the combination of Assai's wholesale operations with the core international business of Interlink is ideal, since it results in the combination of our high volume and low margin VoIP business, with the lower volume but much higher margin business which is the core of Interlink's operations. We felt that the combination would result in a substantial higher valuation for our shareholders than remaining an independent entity, and therefore that is the reason that we opted to exchange stock with Interlink as opposed to accept a cash purchase price. We have several pending international contracts, which we will be finalizing in the next few weeks, and will also be pursuing several wholesale opportunities that Interlink has not been pursuing vigorously because of its rapid expansion.

Because of the completed acquisition and other announced contracts, the management of Interlink has increased its projections for 2005 gross revenues to $5,220,500, with net profits of $236,820, and has increased 2006 projections to $35,115,000, with net profits of $3,051,700.
